Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and GapFix ("GapFix", "we", "us", or "our") and govern your use of the GapFix iOS app, Android app, the website at gapfix.app, and any related services (collectively, the "Service"). By creating an account, downloading the app, or otherwise accessing the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization. These Terms incorporate by reference our Privacy Policy at gapfix.app/privacy and any rules or guidelines posted within the Service.

To use the Service, you must be at least 16 years old, or the minimum age for digital consent in your country if higher. If you live in the United States, you must be at least 13. If you live in India, you must be 18 or older, or have verifiable consent from a parent or legal guardian. The Service is intended for adults working on their professional careers and is not designed for children. By using the Service, you confirm that you meet the applicable age requirement. You must also be permitted by the laws of your country to enter into a binding contract. You may not use the Service if you are barred from receiving services under the laws of India, the United States, or any other jurisdiction with applicable export-control or sanctions regimes.

To use most features of the Service, you must create an account using your email or by signing in with Apple or Google. You agree to: - provide accurate, current, and complete information; - keep your account information up to date; - keep your password and authentication tokens confidential; - not share your account or impersonate another person; and - notify us promptly at help@gapfix.app if you suspect any unauthorized use of your account. You are responsible for all activity that takes place under your account. We may refuse, suspend, or terminate accounts at our reasonable discretion for violations of these Terms or applicable law. You can delete your account at any time from Settings → Account → Delete account. Once deleted, your data is removed in line with our Privacy Policy retention schedule.

The Service is offered in a free plan and a paid Premium plan. The features included in each plan are described on gapfix.app/pricing and may change from time to time. If we offer a free trial of Premium, you may be required to provide payment-method details to your Apple ID or Google account before the trial begins. If you do not cancel before the trial ends, the subscription automatically becomes paid at the price disclosed at sign-up. You can cancel at any time during the trial via the App Store or Google Play. GapFix may run promotions or discount offers from time to time. Eligibility, terms, and any restrictions for those offers will be communicated when they are made available.

**How payment works.** Premium subscriptions are sold and billed by Apple (through the App Store on iOS and iPadOS) or Google (through Google Play on Android). The applicable Apple Media Services Terms and Conditions or Google Play Terms of Service govern the payment relationship between you and Apple or Google. We do not directly process or store your payment-card information. **Recurring billing.** Premium subscriptions renew automatically at the end of each billing period (monthly, quarterly, or yearly, depending on the plan you choose) at the then-current price, unless you cancel before the renewal date. Renewal charges are taken by Apple or Google. **Cancellation.** You can cancel your Premium subscription at any time: - iOS / iPadOS: Settings → [your name] → Subscriptions → GapFix → Cancel. - Android: Google Play app → Profile → Payments & subscriptions → Subscriptions → GapFix → Cancel. Cancellation takes effect at the end of your current billing period. You retain Premium access until then. **Refunds.** All refunds are handled by the platform that processed your payment. Apple manages refund requests through reportaproblem.apple.com; Google manages refunds through Google Play. We have limited ability to issue refunds directly. Where required by law (for example the EU/UK 14-day "right of withdrawal" for digital services bought from the website), you have the rights granted by that law in addition to the platform's policies. **Price changes.** We may change subscription prices for new billing periods. Where required by law or platform rules, we will notify you in advance and give you the opportunity to cancel before the change takes effect. **Taxes.** Prices may include or exclude applicable taxes (GST, VAT, sales tax, etc.) depending on your location and the platform's tax handling. Apple and Google determine tax treatment of in-app purchases.

Subject to these Terms, GapFix grants you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use one copy of the GapFix mobile app on a device that you own or control, and to access the website, solely for your personal, non-commercial use. All right, title, and interest in and to the Service, including the app, the website, lessons, plans, AI outputs, the GapFix name, logo, and visual design, remain the property of GapFix and its licensors. These Terms do not grant you any right to use our trademarks or branding without our prior written permission. The mobile app is licensed, not sold, to you.

**Apple App Store (iOS, iPadOS).** You and GapFix acknowledge that these Terms are between you and GapFix and not with Apple. Apple has no obligation to provide maintenance or support for the app. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the app. Apple is a third-party beneficiary of these Terms and may enforce them against you. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app to you. Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are the sole responsibility of GapFix. **Google Play (Android).** Your use of the app from Google Play is subject to the Google Play Terms of Service in addition to these Terms. If there is a direct conflict between these Terms and the Google Play Terms with respect to the Google Play distribution of the app, the Google Play Terms control with respect to that distribution.

"User Content" means anything you submit, upload, or generate through the Service, including your CV, profile information, learning notes, quiz responses, and feedback. You retain ownership of your User Content. By submitting it, you grant GapFix a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (e.g., format conversion), and use your User Content solely as needed to provide and improve the Service to you. We do not use your User Content to train general-purpose AI models that are not part of providing the Service to you. You represent that you have all rights necessary to grant this license, and that your User Content does not violate any law or any third party's rights. You are solely responsible for your User Content and for the consequences of submitting it. We may, but are not obligated to, review, remove, or refuse User Content that we believe violates these Terms or applicable law.

You agree not to: - use the Service for any unlawful purpose, or in any way that violates these Terms or any applicable law; - harass, threaten, defame, or harm any person; - upload or transmit content that is hateful, obscene, sexually explicit, or otherwise objectionable; - infringe any intellectual property right or privacy right; - attempt to gain unauthorized access to the Service, our infrastructure, or other users' accounts; - interfere with or disrupt the Service, including via denial-of-service attacks or excessive automated requests; - reverse engineer, decompile, or disassemble any part of the Service, except to the extent applicable law expressly prohibits such restriction; - use bots, scrapers, or other automated means to access or extract content from the Service except as we expressly permit; - circumvent rate limits, authentication, or any other protective measure; - distribute viruses, malware, or harmful code; - use the Service to develop a competing product or to train a third-party machine-learning model; - impersonate any person or misrepresent your affiliation with any organization; or - engage in fraud, phishing, or social engineering. We may suspend or terminate your account, with or without notice, for any violation of this section.

The Service uses AI to generate gap analyses, learning plans, lesson summaries, and similar outputs ("AI Outputs"). AI Outputs are generated automatically and may be inaccurate, incomplete, or out of date. You should review AI Outputs critically before relying on them. GapFix does not provide career, legal, medical, financial, or other professional advice. The Service is an educational tool, not a substitute for advice from a qualified professional. Decisions about your career and finances are your own. To the extent permitted by law, you have ownership rights in the specific AI Outputs generated for your account, except that other GapFix users may receive similar or identical outputs.

The Service may link to or interoperate with third-party services such as Apple, Google, payment platforms, and analytics providers. These third parties operate under their own terms and privacy policies. GapFix is not responsible for the content, conduct, or practices of any third-party service. If you choose to interact with a third-party service through the Service, you do so at your own risk.

We are continually improving the Service. We may add, modify, or remove features at any time. Where a change materially reduces a paid feature you currently rely on, we will give you reasonable advance notice and, where required by law, the option to terminate your subscription and receive a pro-rated refund of unused subscription time paid for that feature. We may also temporarily or permanently suspend the Service for maintenance, technical, security, or legal reasons.

**By you.** You can stop using the Service at any time by uninstalling the app or deleting your account. **By us.** We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have breached these Terms, used the Service unlawfully or in a way that risks harm to GapFix or our users, or if we are required to do so by law. **Effect of termination.** When your account is terminated, your right to use the Service ends immediately. Your data is handled as described in our Privacy Policy. Sections that by their nature should survive termination — such as ownership, disclaimers, limitation of liability, indemnification, and governing law — survive.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GAPFIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. GAPFIX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES, OR THAT AI OUTPUTS WILL BE ACCURATE, COMPLETE, OR APPROPRIATE FOR YOUR PURPOSES. Some jurisdictions do not allow the exclusion of certain warranties. Where such exclusion is not allowed, the warranties in this section apply only to the extent permitted by applicable law, and you may have additional statutory rights.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GAPFIX, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, EVEN IF GAPFIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GAPFIX'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO GAPFIX FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$50. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including for fraud, gross negligence, or death or personal injury caused by negligence. For consumers in the EEA, UK, India, Australia, and other jurisdictions, these limits apply only to the extent permitted by your local consumer-protection law.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless GapFix and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: - your User Content; - your use of the Service in violation of these Terms or applicable law; - your violation of any third-party right; or - any false statement made by you in connection with the Service. We will give you prompt notice of any claim subject to indemnity and may, at our option, assume sole control of defense and settlement.

These Terms are governed by the laws of India, without regard to its conflict-of-law principles, except to the extent local consumer-protection law in your country grants you rights that cannot be overridden by contract. Subject to the next paragraph, you and GapFix agree to submit to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India to resolve any dispute arising out of or relating to these Terms or the Service. **Consumers' rights.** If you are a consumer in the European Economic Area, the United Kingdom, India, Australia, Brazil, Canada, or any other jurisdiction where mandatory consumer law gives you the right to bring a claim in your country of residence, nothing in these Terms takes that right away. You may also be able to use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr (for EEA consumers). **No class actions where prohibited.** Except where prohibited by your local law, you and GapFix agree to bring claims only on an individual basis and not as a plaintiff or class member in any class or representative proceeding. **Informal resolution.** Before filing a claim, you agree to try to resolve the dispute informally by contacting us at help@gapfix.app. We will try to resolve the dispute within 60 days of receipt.

You may not use the Service in violation of applicable export-control or sanctions laws of India, the United States, the European Union, the United Kingdom, or any other jurisdiction. You represent that you are not located in, organized in, or a resident of any country or territory subject to comprehensive sanctions, and are not on any restricted-party list maintained by such jurisdictions.

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent version. If a change is material, we will notify you in advance through the app, by email, or with a prominent notice on the website. Continued use of the Service after the effective date of the updated Terms constitutes acceptance. If you do not agree with a change, you may stop using the Service and cancel your subscription before the change takes effect.

**Entire agreement.** These Terms and the Privacy Policy form the entire agreement between you and GapFix regarding the Service and supersede prior agreements on the same subject. **Severability.** If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. **No waiver.** Our failure to enforce any right or provision is not a waiver of that right or provision. **Assignment.** You may not assign these Terms without our prior written consent. We may assign them without restriction in connection with a corporate transaction. **Force majeure.** We are not responsible for delay or failure to perform caused by events beyond our reasonable control, including acts of God, war, terrorism, riot, government action, fire, flood, epidemic, or internet outages. **Notices.** Notices to GapFix must be sent to help@gapfix.app. Notices to you may be sent to your registered email or delivered through the Service. **Language.** These Terms are written in English. Any translation we provide is for convenience only; the English version controls in the event of conflict.
